Agreement to Terms
These Terms of Use are an agreement between you and Ahsan Zaman, doing business as Itabi ("Itabi," "we," "us," or "our"). By accessing or using the Itabi app, website, or related services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.
If you use Itabi on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
Description of Service
Itabi is a general travel-planning application that can help you:
- Create and organize trips and day-by-day itineraries
- Save destinations, accommodations, airports, and notes
- Use maps, place search, and nearby-place context
- Collaborate with invited travel companions
- Optionally share your latest location during a trip
- At your request, use third-party artificial intelligence to identify places in a public Google Doc or Google Sheet
Features may change, be unavailable in some locations, or be discontinued. Itabi does not book travel or act as a travel agent, carrier, hotel, guide, emergency service, or insurer.
Accounts and Eligibility
- You must be at least 13 years old to use Itabi
- You must provide accurate account information
- You are responsible for activity under your account
- You must protect access to your sign-in provider and notify us of suspected unauthorized access
You may delete your account through the app settings. Data deletion and retention are described in the Privacy Policy.
Acceptable Use
You may not:
- Use the service for an illegal or unauthorized purpose
- Submit malware, harmful code, or unlawful content
- Attempt to bypass access controls or access another account
- Disrupt, overload, probe, scrape, or reverse engineer the service
- Harass, abuse, impersonate, or harm another person
- Submit another person's personal or confidential information without authority
- Use automated systems to access the service except through an interface we expressly authorize
- Violate intellectual-property or other third-party rights
User Content
Ownership and Permission
You retain ownership of trip names, notes, itineraries, places, and other content you create, save, or submit. You represent that you have the rights and permissions needed to submit that content and to share it with companions you invite.
You grant Itabi a non-exclusive, worldwide, royalty-free license, limited to what is reasonably necessary to host, reproduce, process, transmit, and display your content to provide, secure, and improve the service and to share it with trip companions at your direction. This license ends when the content is deleted from our active systems, except for limited backup retention, shared content that remains with another user's trip, or legal retention described in the Privacy Policy.
Document Imports
When you request a Google Doc or Sheet import, you authorize Itabi and its processors to retrieve the publicly shared source text and process it to identify travel places. The source document remains hosted by Google. Do not import sensitive or personal data that is unnecessary for travel planning.
Itabi does not currently provide direct photo or file uploads to Itabi-managed cloud storage.
Intellectual Property
Itabi's software, visual design, branding, and content provided by us are owned by Itabi or its licensors and are protected by intellectual-property laws. Except as expressly allowed by these Terms, you may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from those materials.
Third-Party Services
Itabi relies on third-party services, including Google Maps and Places, Google Docs and Sheets, Google Firebase and Firebase Analytics, Google and Apple sign-in, OpenAI for document-place extraction you request, Resend for invitation email, Cloudflare for website and endpoint hosting, and Shorebird for compatible app updates.
Third-party services may have separate terms and privacy policies. Itabi does not control their services and is not responsible for third-party content, availability, accuracy, or independent acts, except to the extent applicable law provides otherwise.
Premium Features and Payments
Itabi may offer paid features in the future. Before purchase, we or the applicable app store will disclose the price, billing period, renewal terms, and other material conditions.
- You may manage or cancel an app-store subscription through the account settings provided by that app store
- Refunds and billing are subject to applicable app-store policies and mandatory consumer law
- We will provide price-change and renewal notices required by applicable law or app-store rules
Disclaimers
Service Provided As Is
To the maximum extent permitted by law, Itabi is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, secure, error-free, or accurate.
Travel and Generated Results
Maps, place details, nearby results, imported-place extraction, itinerary organization, opening hours, prices, travel times, and location data may be incomplete, outdated, generated, or inaccurate. Itabi is a planning aid only. Independently verify safety-critical information, reservations, entry requirements, transportation, accessibility, health guidance, and local conditions. You remain responsible for travel decisions and personal safety.
Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.
Limitation of Liability
To the maximum extent permitted by law, Itabi and its owner, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, travel opportunities, or business interruption, arising out of or related to the service or these Terms, even if advised that such damages were possible.
To the maximum extent permitted by law, the total aggregate liability of Itabi and its owner, affiliates, licensors, and service providers for all claims arising out of or relating to the service or these Terms will not exceed the greater of (a) the amount you paid directly to Itabi for the service during the 12 months before the event giving rise to the claim or (b) US$50.
These exclusions and limits do not apply to liability that cannot lawfully be excluded or limited, including, where applicable, liability for fraud, willful misconduct, gross negligence, or death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions or limits, so parts of this section may not apply to you.
Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Itabi and its owner, affiliates, licensors, and service providers from third-party claims, liabilities, damages, judgments, losses, and reasonable legal fees arising from: (a) content you submit; (b) your unlawful or unauthorized use of the service; (c) your material breach of these Terms; or (d) your violation of another person's rights. This obligation does not apply to the extent a claim results from Itabi's negligence, willful misconduct, or violation of law.
We will give reasonable notice of an indemnified claim and may control its defense and settlement. You will reasonably cooperate, and we will not agree to a settlement that admits fault or imposes a non-monetary obligation on you without your consent. Non-waivable consumer rights remain in effect.
Suspension and Termination
We may suspend or terminate access if you materially violate these Terms, create security or legal risk, engage in fraud or illegal activity, or if we are legally required to do so. We may also discontinue the service. Where reasonably practicable, we will provide notice.
Provisions that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, indemnification, and dispute provisions.
Changes to These Terms
We may update these Terms as the service or law changes. We will post revised Terms, update the effective date, and provide additional notice where required. If required by law, we will ask you to accept material changes before they apply. Otherwise, continued use after the effective date constitutes acceptance of the revised Terms.
Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Subject to any mandatory right to bring a claim elsewhere, the state and federal courts located in Santa Clara County, California have exclusive jurisdiction over disputes arising out of or relating to these Terms or the service, and you and Itabi consent to personal jurisdiction in those courts.
If you are a consumer, this section does not deprive you of protections that cannot be waived under the laws of your place of residence. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
General
These Terms and the Privacy Policy are the entire agreement concerning the service, except for additional terms presented for a specific feature. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, acquisition, or transfer of the service.
